Velmax Capital Advisors is an independent corporate advisory firm. We work with growth-stage and scalable businesses on corporate finance, capital raising, transaction structuring and the transition to public markets.

Who We Are

Advisory at an intersection.

We advise where capital structure, regulation and transaction execution intersect. Most firms hold one of those disciplines. Transactions demand all three at once — which is why our partnership deliberately combines legal training, capital-markets experience and an institutional investor's perspective.

Our multidisciplinary approach exists for a simple reason: a financing decision is never only financial. It is contractual, regulatory and strategic, and it must survive diligence by people whose job is to find its weaknesses. We structure for that scrutiny from the first conversation.

We maintain working relationships with institutional investors, merchant bankers and private equity firms. Where a mandate requires registered intermediaries — for underwriting, book-running or brokerage — we work alongside them; we do not replace them, and we do not claim their role.

Every mandate is led by the partners you first met. There is no hand-off to a junior team after the engagement letter — because judgment, unlike process, does not delegate well.

Assess

Before we accept a mandate, we test it: the numbers, the route, the use of funds and the promoter's clarity. If the fit is wrong, we say so early — it is the least expensive moment for honesty.

Structure

Route, instrument and sequence are settled before any conversation about price. The architecture of a transaction decides most of its outcome long before the market does.

Prepare

Financial modelling, valuation, data-room discipline and the investor narrative — built to withstand institutional diligence, not merely to pass a first reading.

Execute

Regulatory coordination, investor engagement and closing mechanics, carried end to end. Execution is where preparation becomes visible.

We would rather decline a mandate than dilute one. Attention is the only resource a boutique cannot raise.
